Language. These Terms are provided in English and Chinese. The English version is the controlling version; the Chinese translation is provided for convenience only. In the event of any conflict or inconsistency, the English version governs.
These Terms of Service ("Terms") form a binding agreement between you ("you," "your," or "Customer") and 4 YI AI INC and its affiliates ("4YI," "we," "us," or "our") governing your access to and use of the 4YI platform, websites, applications, command-line tools, APIs, agents, and related services (collectively, the "Services").
By creating an account, clicking "I agree," or accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Services.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter into a contract to use the Services. You may not use the Services if you are barred from doing so under applicable law, including export-control and sanctions laws.
4YI is an aggregation and orchestration platform that provides access to artificial-intelligence models, agents, developer tools, and related media-generation capabilities. A core function of the Services is to route your requests to third-party model and inference providers ("Upstream Providers") and to return their outputs to you.
You acknowledge that:
You must provide accurate registration information and keep it current. You are responsible for safeguarding your credentials and API keys and for all activity that occurs under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that we reasonably believe are compromised, fraudulent, or in violation of these Terms.
You agree not to use the Services to:
We may publish a separate, more detailed Acceptable Use Policy, which will form part of these Terms.
Your Content. "Inputs" are the prompts, files, and data you submit; "Outputs" are the responses generated for you. As between you and 4YI, you retain all rights you hold in your Inputs, and, to the extent permitted by applicable law and by the relevant Upstream Provider's terms, we assign to you our rights, if any, in the Outputs generated for you.
License to Operate. You grant 4YI a worldwide, non-exclusive license to host, process, transmit, and display your Inputs and Outputs solely as necessary to provide, secure, and maintain the Services, including transmitting them to Upstream Providers to fulfill your requests.
Upstream Processing. To fulfill your requests, your Inputs are transmitted to and processed by Upstream Providers under their own terms and privacy practices. You are responsible for ensuring you have the rights to submit your Inputs for such processing.
Responsibility. You are solely responsible for your Inputs and for your use of Outputs, including ensuring they comply with applicable law and do not infringe third-party rights.
This Section 7 governs all fees, billing, and refunds for the Services.
Each model-invocation request you initiate is deemed to have begun delivery of the Service — and the corresponding compute resources are deemed actually occupied — at the moment the request is submitted to the Upstream model-inference service and inference computation begins. Billing is based on the compute consumption actually incurred by the Upstream model service (including but not limited to the number of input/output tokens, inference duration, or number of invocations), and not on whether your client fully received the returned result.
After inference computation has begun, any interruption of the connection — whether because you actively close the page, cancel the request, disconnect your network, your client times out, or for any other reason not attributable to the platform — does not affect the compute consumption already incurred. In such cases, the platform bills according to the compute actually consumed Upstream, and the consumed portion is non-refundable.
If a request is cancelled or fails before it is submitted to the Upstream inference service, or if the Upstream service incurs no compute consumption, the platform will not bill you for it; any quota pre-frozen for that request will be released or refunded.
If, due to a platform system failure, an Upstream model-service error, or any other cause attributable to the platform, the inference fails to complete properly or the result is unusable, the platform will refund or otherwise compensate the affected fees for that request. This Section does not apply to interruptions caused by your client or your network.
Because, upon interruption, some requests may continue to execute Upstream until completion, the final billed amount is based on the actual usage reported back by the Upstream model service. The platform reserves the right to make a final determination of the fees for such a request during settlement or reconciliation.
The Services, including all software, interfaces, and documentation (excluding your Inputs and Outputs), are owned by 4YI and its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services in accordance with these Terms. All rights not expressly granted are reserved. You may not use our trademarks without our prior written consent.
The Services interoperate with Upstream Providers and other third-party services governed by their own terms. We are not responsible for third-party services, and your use of them is at your own risk and subject to their terms.
THE SERVICES AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE OR RELIABLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 4YI AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
You will indemnify and hold harmless 4YI and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Inputs, your use of the Services, your violation of these Terms, or your violation of any law or third-party rights.
These Terms apply while you use the Services. You may stop using the Services at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, create risk or legal exposure for us, or fail to pay fees. Upon termination, your right to use the Services ceases. Sections that by their nature should survive (including Sections 6–12, 14, and 15) survive termination.
We may modify the Services or these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by posting the updated Terms with a new "Last updated" date or by notifying you). Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles, and, where applicable, by the U.S. Federal Arbitration Act.
Arbitration. Any dispute arising out of or relating to these Terms or the Services will be finally resolved by binding arbitration administered by JAMS under its applicable rules, seated in Wilmington, Delaware, in the English language. Either party may seek injunctive relief in a court of competent jurisdiction for infringement or misuse of intellectual property. Class actions and class arbitrations are waived to the extent permitted by law.
